By creating an account, signing in, starting checkout, purchasing managed advertising, submitting campaign information, or otherwise using the Dynamoi portal, you agree to these Terms of Service and the Dynamoi Privacy Policy.

YouTube API Services. Dynamoi uses YouTube API Services in features that connect YouTube channels, display YouTube content or channel information, validate YouTube videos or playlists, and show YouTube Analytics data. By using the Dynamoi portal, including features that use YouTube API Services, you agree to be bound by the YouTube Terms of Service at https://www.youtube.com/t/terms.

If you use the portal on behalf of an artist, label, company, or other organization, you represent that you have authority to bind that organization to these Terms.

Dynamoi is a partner-branded marketing portal. The portal is powered and operated by Dynamoi LLC for v1.

Unless a separate signed agreement says otherwise, Dynamoi LLC is the contracting party, platform operator, campaign operator, payment recipient, merchant of record, and support-system provider for paid managed advertising purchased through the Dynamoi portal.

The Dynamoi portal provides access to music marketing workflows, managed advertising checkout, campaign setup, campaign operations, campaign reporting, support, and related tools for artists, labels, and music teams.

Paid services are managed advertising services. Dynamoi may create, manage, optimize, pause, resume, or modify campaigns on supported advertising platforms as part of the services you purchase or enable.

Additional distribution or publishing administration terms may apply only when those services are expressly offered in the applicable product flow.

Distribution workflows are subject to separate agreement acceptance, eligibility, release-proof, collaborator-split, tax, payout, geography, legal, provider-risk, and launch gates. Meeting a minimum review bar does not guarantee distribution access or release delivery.

You agree to provide accurate information, keep your login credentials secure, and accept responsibility for activity under your account.

You represent that you have the rights, permissions, and authority needed to submit, connect, advertise, or promote any artist, release, track, channel, page, artwork, creative, metadata, destination URL, or related content you provide.

You authorize Dynamoi LLC, through the Dynamoi portal, to use submitted information and connected platform data as needed to set up, operate, optimize, measure, report on, and support managed advertising campaigns.

Payments are processed by Stripe. Unless a separate signed agreement says otherwise, Dynamoi LLC is the merchant of record for purchases through the Dynamoi portal.

Your Stripe Checkout page, receipt, invoice, customer portal, bank statement, or card statement may show DYNAMOI or Dynamoi LLC.

Paid managed advertising may include subscriptions, campaign budgets, campaign credits, automatic campaign-credit top-ups through a saved payment method, usage-based charges, one-time charges, taxes, payment-processing costs, dispute costs, or other charges shown at checkout or in the applicable billing flow. Campaign credits from top-ups are added only after payment succeeds.

Distribution payouts and royalty reinvestments require verified tax and payout setup, may use payout providers such as Wise, may be subject to reserves, reversals, offsets, negative balances, collaborator held shares, legal holds, statement corrections, payout-provider restrictions, and tax reporting obligations, and may be delayed or blocked until required evidence is complete.

If you believe a charge is unauthorized or incorrect, contact support promptly so we can review it before a bank dispute or chargeback is filed. Filing a chargeback does not cancel your subscription, stop campaign obligations, or waive amounts already committed, delivered, submitted, or consumed.

We may use account, checkout, receipt, campaign, usage, support, IP, device, provider, refund, and communications records to investigate billing questions, fraud warnings, refund requests, disputes, and chargebacks, and may submit those records to Stripe, card networks, banks, service providers, or legal advisors when appropriate.

Campaign credits, budgets, subscription benefits, and campaign delivery rules are shown in the applicable checkout, billing, or campaign flow. Campaign credits are promotional or service-specific balances that may expire, may be limited to eligible campaigns, and may not be redeemable for cash unless required by law.

Royalty reinvestment credits are non-cash campaign credits for Dynamoi-managed campaigns. Promotional credit has no cash value, may expire, may be reversed for royalty corrections or abuse, and does not remove any tax obligation that may apply to the routed royalties.

The service is managed advertising: Dynamoi operates campaigns and reports campaign performance through supported platform data and internal reporting systems.

Unless a checkout flow, written agreement, or applicable law says otherwise, paid subscriptions and committed campaign services are not refundable once charged, committed, delivered, submitted, or consumed.

You may cancel eligible subscriptions through the billing flow where available. Cancellation stops future renewals but does not automatically refund prior charges or charges for services already committed, delivered, submitted, or consumed.

Refunds, account credits, goodwill credits, or campaign credits are discretionary unless required by law or expressly promised in the applicable checkout flow or written agreement. A campaign not meeting hoped-for performance outcomes is not, by itself, a basis for a refund.

You retain ownership of your content. You grant Dynamoi LLC, the portal brand, and their service providers a non-exclusive, worldwide, royalty-free license to host, process, reproduce, display, adapt, route, analyze, submit, and otherwise use your submitted or connected content as needed to provide, support, secure, measure, and improve the portal and managed advertising services.

For distribution, you authorize Dynamoi and its service providers to process submitted recordings, artwork, metadata, release proofs, tax evidence metadata, collaborator split information, royalty statements, payout details, and takedown or dispute materials as needed to administer the distribution workflow. Backend provider names may be withheld in client-facing surfaces.

The portal and managed advertising services may depend on third-party services such as Stripe, Supabase, Vercel, PostHog, Resend, Google, YouTube, Meta, Spotify, Apple, TikTok, and other advertising, analytics, infrastructure, support, or music-platform providers.

You may not use the portal or managed advertising services for fraudulent, misleading, infringing, harmful, abusive, or illegal activity.

You may not impersonate artists, labels, rights holders, platforms, or other people; submit content you do not have authority to promote; manipulate streams, saves, follows, views, clicks, rankings, royalties, reports, or platform metrics; evade ad-network or streaming-platform rules; distribute malware or phishing links; harass others; violate intellectual-property rights; or interfere with service security or integrity.

Campaign metrics, attribution, pacing, delivery, clicks, views, saves, follows, conversions, spend, and reporting may be delayed, estimated, filtered, incomplete, or affected by third-party systems, privacy controls, bots, outages, API limits, ad review, attribution windows, and data-processing errors.

We do not guarantee any listener, stream, save, follow, view, click, revenue, royalty, playlist, chart, ranking, algorithmic, or business outcome.

THE SERVICES ARE PROVIDED AS IS AND AS AVAILABLE WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

To the fullest extent permitted by law, total liability for all claims is limited to the greater of $100 or the amount you paid through the portal for the service giving rise to the claim during the 12 months before the claim.

These Terms are governed by the laws of the State of South Dakota, without regard to conflict-of-laws rules. Any dispute will be brought in state or federal courts located in South Dakota, unless a separate signed agreement states otherwise.

English is the controlling language for these legal terms and distribution agreement records unless a later written agreement expressly says otherwise.
